Playgrapes – Terms & Conditions

1. Overview
Playgrapes (“PG”) is an online platform that enables wineries to share short, authentic wine videos told by the winemakers themselves.
Each video lasts no longer than 60 seconds and can be viewed through Playgrapes QR-codes, digital Play buttons, or embedded links in restaurant menus, wine lists, webshops, or social media.

By collaborating with or using Playgrapes, all customers and partners accept these Terms & Conditions.


2. Platform structure & license period
Each wine receives its own dedicated Playgrapes page – a digital home featuring the video, wine information, and sharing tools.

The producer’s license grants:

  • A 12-month license, beginning on the day the first video for that producer is published.

  • The right to actively upload, host, and promote videos under the same account during the active license period.

If the license expires or is not renewed, Playgrapes may suspend or remove access to videos previously published under that license.

If a license expires, all videos published during the active license period will remain hosted for up to twelve (12) months thereafter, unless the producer renews or cancels the agreement. After this period, Playgrapes reserves the right to deactivate or remove the videos without further notice.

QR-codes and Play buttons provided by Playgrapes may be used freely in print or digital form, provided the videos remain hosted within Playgrapes.


3. Ownership & hosting
All videos and pages are hosted and owned by Cepage ApS under the Playgrapes brand.

Producers retain authorship of their recorded material, but by submitting it, they grant Cepage ApS a perpetual, non-exclusive worldwide license to host, display, and distribute it within the Playgrapes ecosystem.

No downloads or external hosting are permitted. This protects both the customer’s intellectual property and Playgrapes’ brand integrity.

Viewing and sharing may only occur through official Playgrapes links, QR-codes, or embeds served from Playgrapes servers.

This ensures consistency, security, and copyright protection for all participants.


4. Content creation & production process

Agreement acceptance and order confirmation
Once the customer has provided written acceptance of a Playgrapes quotation or offer, an official order confirmation will be issued by Playgrapes.
From that moment, the agreement is considered binding and cannot be cancelled or withdrawn by the customer.
Any subsequent changes must be agreed in writing and may result in additional costs or adjusted delivery timelines.

Structured production concept
All Playgrapes videos follow a consistent creative framework developed for the platform.
Each video is built around a template consisting of three parts:

  • Intro – a short branded opening sequence that introduces the producer and wine.

  • Part 1 – a general presentation of the winery, region, or winemaking philosophy.

  • Part 2 – a focused presentation of the specific wine featured.

This structure ensures recognisable quality and storytelling consistency across the entire Playgrapes catalogue.
By entering into agreement with Playgrapes, the customer acknowledges and accepts this production format as the creative foundation for all videos.

Delivery of material
Unless otherwise agreed, the customer must deliver all required video footage and materials within three (3) months after receiving the order confirmation.
If not delivered within this period, the license period automatically begins 90 days after confirmation, and Playgrapes may invoice accordingly (30-day payment terms).

Language and translation
Producers are free to speak in their own native language when recording their videos.
Playgrapes will handle translation and subtitle creation as part of the editing process.
Translations may be assisted by AI tools; if minor inaccuracies occur, the customer is expected to assist Playgrapes in reviewing and correcting the text where necessary.
Such assistance is considered a normal part of the production process and does not entitle the customer to any price reduction or compensation.

Filming & editing
Producers normally film their own material according to Playgrapes’ technical and storytelling guidance.
Playgrapes performs editing, sound balancing, colour correction, subtitling, and integration into the official Playgrapes video format.

Approval process
The customer must participate actively in the review process and, if disapproving, specify reasons clearly in writing.
Before production, the customer is informed of Playgrapes’ available visual styles, background music, and quality requirements.

Production & communication flow
Before production begins, Playgrapes provides each customer with clear written guidelines describing the full production and communication process — including technical specifications for filming, delivery of materials, upload procedures, and the expected approval flow.

By entering into agreement with Playgrapes, the customer confirms to have received and understood these materials and accepts that the production will follow the described workflow.

Unless otherwise agreed in writing, the customer is entitled to three (3) rounds of revisions after the first video draft has been delivered.
Further revisions, additional editing, or major creative changes requested by the customer may be invoiced separately according to Playgrapes’ current hourly or production rates.


5. Rights to materials
By transferring material to Playgrapes, the customer confirms full usage rights.
If third-party material is included, the customer must obtain written permission or supply replacements.
Playgrapes may use completed videos – in whole or in part – for marketing its own platform.

By collaborating with Playgrapes, the customer grants Cepage ApS the right to reference the producer’s name, logo, and video content for promotional or portfolio purposes, including on websites, presentations, and social media.


6. Hosting, access & distribution
Videos remain exclusively hosted by Playgrapes; file downloads are not allowed.

Anyone with an official Playgrapes QR-code or link may display or share it freely.

Playgrapes is free to use for restaurants, importers, and points of sale once the producer’s license is active.

Playgrapes reserves the right to introduce usage fees or subscription models for third-party access in the future, without affecting the producer’s existing license terms.


7. Removal, retention & inactivity
If a customer requests removal, they must send written notice via email.

Playgrapes will:

  • Remove the video from public listings within approximately 30 days;

  • Retain the video for up to 12 months thereafter to protect partners using active QR-codes or embeds;

During this period, the video remains reachable through existing links but unlisted from search.

If a producer no longer holds an active license, Playgrapes may deactivate or unlist any associated videos once the post-license retention period (up to 12 months) has expired.
Reactivation or continued hosting beyond that period requires renewal of the producer’s license.

If a producer has had no active, paid license for 36 months, Playgrapes may permanently delete all related videos without notice.


8. Right to decline service
Playgrapes may decline or terminate collaboration with any customer without explanation if content or behaviour conflicts with platform standards or ethics.


9. Pricing & payment
All prices provided by Playgrapes are indicative list prices and may vary.
Individual negotiations and tailored agreements can result in different pricing structures between customers.
The fact that another producer has obtained a particular price or condition does not entitle any other party to the same.

Specific pricing, discounts, and payment terms are agreed individually in writing.
Unless otherwise stated, invoices are due 30 days net.
License fees are non-refundable once a video has been published.

In case of delayed payment, Playgrapes reserves the right to suspend access to hosted videos until payment has been received in full. Interest and reminder fees may be added in accordance with Danish law.


10. Technical reliability & liability limitations
Playgrapes strives for stable service and high uptime but cannot guarantee uninterrupted operation.
Playgrapes shall not be financially liable for any error, delay, outage, or data loss, regardless of cause.
If disruption occurs, compensation – if any – will consist solely of an extended license period, never monetary payment.

Playgrapes may use third-party software or hosting services to deliver and operate its platform. Playgrapes cannot be held responsible for service interruptions, technical limitations, or policy changes made by such external providers.


11. Force Majeure
Playgrapes shall not be held responsible or liable for failure to perform obligations under these Terms when such failure is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, fire, flood, war, acts of terrorism, governmental restrictions, power or internet outages, strikes, pandemics, or failure of suppliers or hosting providers.

In any Force Majeure situation, the customer is not entitled to financial compensation; any remedy may solely consist of an extension of the active license period.


12. No sales, ratings or reviews
Playgrapes is not a sales or rating platform.
Prices, reviews, and user ratings are not displayed.
Producers may mention verified awards or distinctions.


13. Intellectual property
All design elements – including the Playgrapes name, logo, “play-grape” icon, colour palette, and layouts – remain the exclusive property of Cepage ApS and may not be copied or reused without written consent.

All Playgrapes templates, intros, and editing structures are proprietary creative assets owned by Cepage ApS. Customers receive a usage right within their videos but obtain no ownership or exclusivity to the format or design.


14. Change of ownership & brand identity
Playgrapes is a brand owned and operated by Cepage ApS.
Cepage ApS reserves the right to sell, transfer, or otherwise reorganize its business activities — including ownership of the Playgrapes platform, videos, contracts, licenses, and related intellectual property — at any time.

In the event of such a sale or transfer, all existing customer agreements, licenses, and hosted materials will remain valid under the new ownership.

Cepage ApS and any future owner also reserve the right to update or modify the platform’s name, logo, design elements, and brand presentation, including visual elements appearing within previously produced videos, without requiring additional consent from customers.


15. Data & privacy
Playgrapes complies with GDPR and EU data-protection laws.
Personal data is processed only for operational and support purposes and is never sold or shared with third parties.


16. Governing law & disputes
These Terms & Conditions are governed by Danish law.
Any dispute (“tvist”) arising from or relating to Playgrapes, its services, or these Terms shall be settled exclusively by the courts of Copenhagen, Denmark.


17. Amendments
Playgrapes may update these Terms & Conditions at any time.
Revisions take effect upon publication with a new “last updated” date.
Continued use of the platform constitutes acceptance of the revised terms.
